These Terms of Service ("Terms") govern your access to and use of the services provided by Kyvero AI ("Kyvero," "we," "us," or "our"), including our website at kyvero.ai, the Kyvero AI Receptionist product, and the Kyvero Hub platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Services

Kyvero provides AI-powered business tools including an AI phone receptionist service that answers inbound calls, collects caller information, and books appointments on behalf of businesses, and a team management platform for business network leaders.

2. Account Registration and Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your business to use our Services. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Subscription and Payment

Our Services are provided on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Pricing is displayed on our website and may be updated with 30 days advance notice.

Subscriptions are month-to-month with no long-term commitment. You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.

Payment processing is handled by Stripe. Your payment information is subject to Stripe's terms and privacy policy.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Transmit spam, unsolicited messages, or harassing communications
  • Impersonate any person or entity
  • Interfere with or disrupt the Services or servers
  • Collect or harvest personal data without authorization
  • Use the Services for any fraudulent or deceptive purpose

5. SMS Messaging Compliance

If you use our Services to send SMS messages, you are responsible for ensuring compliance with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. You represent that you have obtained all necessary consents before sending any SMS communications through our Services.

SMS messages sent through our platform must comply with carrier guidelines. We reserve the right to suspend SMS services for accounts that violate messaging policies.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of the Services and any data you collect or process through them complies with applicable privacy laws.

7. Intellectual Property

All content, features, and functionality of the Services are owned by Kyvero and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

8. Third-Party Integrations

Our Services integrate with third-party platforms including Google Calendar, Twilio, and Stripe. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is governed by their respective terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYVERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Kyvero and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the Services at any time. We reserve the right to suspend or terminate your access to the Services immediately if you violate these Terms or if we determine, in our sole discretion, that your use poses a risk to the Services or other users.

13. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Cuyahoga County, Ohio.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or through the Services. Continued use of the Services after changes constitutes your acceptance of the revised Terms.
